D33.ai Terms of Service

1. Acceptance of Terms

By accessing or using the D33.ai application and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, then you may not access the Service.

2. Description of Service

D33.ai is an ERP platform designed for solopreneurs and micro businesses. It offers various modules including, but not limited to, calendar integration, task management, appointment booking, and other business management tools.

3. User Accounts

3.1. You must create an account to use certain features of the Service. You are responsible for maintaining the confidentiality of your account and password.

3.2. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.3. You are responsible for all activities that occur under your account. You must immediately notify D33.ai of any unauthorized use of your account.

4. User Conduct

You agree not to use the Service to:

4.1. Violate any applicable laws or regulations.

4.2. Infringe on the intellectual property rights of others.

4.3. Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.

4.4. Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity.

4.5. Interfere with or disrupt the Service or servers or networks connected to the Service.

4.6. Attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service.

5. Intellectual Property

5.1. The Service and its original content, features, and functionality are owned by D33.ai and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.2. You retain all rights to data you input into the Service.

6. Third-Party Services

6.1. The Service may integrate with or allow access to third-party services (e.g., calendar services, payment processors). Your use of such third-party services is governed by their respective terms of service and privacy policies.

6.2. D33.ai is not responsible for any third-party services or content you access through the Service.

7. Payment Terms

7.1. Certain aspects of the Service may be provided for a fee. You agree to pay all fees associated with your use of the Service.

7.2. Fees are non-refundable except as required by law or as explicitly stated in our refund policy.

7.3. D33.ai reserves the right to change its fees upon reasonable notice.

8. Termination

8.1. D33.ai reserves the right to terminate or suspend your account and access to the Service at its sole discretion, without notice, for conduct that D33.ai believes violates these Terms or is harmful to other users of the Service, D33.ai, or third parties, or for any other reason.

8.2. You may terminate your account at any time by contacting us or using any account deletion feature we provide.

9. Limitation of Liability

9.1. To the maximum extent permitted by law, D33.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use or inability to use the Service.

9.2. D33.ai's total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you have paid to D33.ai in the last six months.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Indemnification

You agree to defend, indemnify, and hold harmless D33.ai and its employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from your use of the Service.

12. Changes to Terms

D33.ai reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

13. Governing Law
